Terms of Service

1. DEFINITIONS

In these Terms of Service ("Terms"):

• "Company" means Carl-Gustaf Consulting AB, doing business as Thinkertags
• "Services" means the Basic Redirect Service, web platform, and any additional features
• "Tags" means the physical QR code tags sold by the Company
• "Activation" means the mandatory process of claiming Tags through our platform using a device capable of reading QR codes with internet access, without which Tags remain non-functional
• "Basic Redirect Service" means the core reprogrammable URL redirection functionality

2. ACCEPTANCE OF TERMS

These Terms constitute a legally binding agreement. By purchasing our Products or using our Services, you represent that you have the legal capacity to enter into this Agreement. We reserve the right to modify these Terms at any time. Continued use constitutes acceptance of any changes.

3. PRODUCTS AND SERVICES

3.1 What We Provide

• Physical QR code tags with reprogrammable redirect functionality
• Basic Redirect Service (provided on best-effort basis)
• Web platform for managing redirects
• Additional features (currently free, subject to change without notice)

3.2 Activation

Tags must be activated through thinkertags.com to function. Activation requires a QR-capable device with internet access and is the purchaser's sole responsibility. The Company provides no refunds or support for unactivated Tags. Platform availability varies by region and may change without notice.

4. PURCHASE TERMS

4.1 Orders and Delivery

• All orders subject to acceptance and availability
• Customer must have access to QR-capable device with internet for activation
• Payment required before shipment
• Worldwide shipping (regional restrictions apply)
• Customer solely responsible for all customs duties, import taxes, VAT, and any other fees imposed by their jurisdiction
• Import-related taxes and fees are non-refundable and not included in product price
• We may cancel orders for any reason, including regional platform unavailability

4.2 Returns and Refunds

• Thirty (30) day return period from delivery
• No physical return required
• Upon refund approval, Tags are immediately deactivated or redirected at our discretion
• Refunds processed via original payment method (subject to Stripe processing times)
• Refunds limited to product purchase price only; import taxes, duties, and fees are non-refundable
• Deactivated Tags cannot be reactivated

5. INTELLECTUAL PROPERTY

5.1 Ownership

We retain all rights to QR code designs, algorithms, software, and branding. You receive only a limited license to use purchased Tags for their intended redirect purpose.

5.2 Restrictions

You shall not duplicate, reverse engineer, modify, or transfer QR codes. Any attempt to counterfeit Tags results in immediate termination and potential legal action.

6. SERVICE TERMS

6.1 Service Availability

Basic Redirect Service is provided on a best-effort basis. Services provided "AS AVAILABLE" without guarantee of uninterrupted access or any specific duration. We may modify or discontinue any features, services, or regions without notice or liability.

6.2 User Responsibilities

You are solely responsible for:

• Activating all purchased Tags using a QR-capable device with internet access
• Account security
• Compliance with applicable laws
• Content uploaded to Services

7. WARRANTIES AND LIABILITY

7.1 Disclaimers

EXCEPT FOR A THIRTY (30) DAY WARRANTY AGAINST MATERIAL DEFECTS, ALL PRODUCTS AND SERVICES ARE PROVIDED "AS IS" WITHOUT ANY WARRANTIES, EXPRESS OR IMPLIED.

7.2 Limitation of Liability

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE PRECEDING TWELVE (12) MONTHS. WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, INCLUDING ANY TAXES, DUTIES, OR FEES IMPOSED BY GOVERNMENTAL AUTHORITIES.

8. INDEMNIFICATION

You agree to indemnify and hold harmless the Company from any claims arising from your use of our Products or Services, violation of these Terms, or infringement of third-party rights.

9. TERMINATION

Either party may terminate at any time. Upon termination, all associated Tags are deactivated and access ceases immediately. No refunds for remaining service periods.

10. DISPUTE RESOLUTION

10.1 Governing Law

These Terms are governed by Swedish law.

10.2 Arbitration

Disputes shall be resolved through binding arbitration in Stockholm, Sweden. Class actions are waived.

11. GENERAL PROVISIONS

11.1 Entire Agreement

These Terms constitute the entire agreement between the parties.

11.2 Assignment

You may not assign these Terms. We may assign freely.

11.3 Severability

Invalid provisions shall not affect the remaining Terms.

11.4 Force Majeure

We are not liable for failures due to circumstances beyond our control.
